1. Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of the website useauxilio.com and any related services, communications, or business channels provided by Auxilio ("Auxilio," "we," "our," or "us"), including software development staff augmentation, recruiting support, candidate introductions, team extension services, and related consulting or coordination services (collectively, the "Services").

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the Services.

2. Description of the Services

Auxilio provides services designed to help businesses extend and strengthen their software development capabilities. Depending on the engagement, the Services may include:

  • identifying and presenting software developers, engineers, designers, QA professionals, DevOps professionals, and other technical talent

  • supporting recruiting, screening, coordination, and interview processes

  • providing staff augmentation and team extension services

  • facilitating onboarding and collaboration between clients and talent

  • providing related consulting, coordination, and support connected to technical hiring and delivery

Auxilio may provide Services directly or through affiliated partners, contractors, or talent networks, depending on the structure of the engagement.

Unless expressly stated in a separate written agreement, Auxilio does not guarantee that any candidate will be hired, accepted, retained, continuously available, or suitable for a particular purpose.

3. Client Responsibilities

You agree to:

  • use the Services only for lawful business purposes

  • provide accurate, current, and complete information regarding your company, hiring needs, technical requirements, and engagement expectations

  • review candidates, talent, and proposed solutions in a timely manner

  • conduct your own evaluation of any candidate or personnel presented through the Services

  • ensure your use of the Services and your engagement of any personnel complies with applicable employment, labor, tax, immigration, intellectual property, privacy, and other applicable laws

  • maintain the confidentiality and security of any accounts, credentials, systems, or confidential information shared in connection with the Services

  • promptly notify Auxilio of any misuse, unauthorized access, security issue, or legal concern related to the Services

You remain responsible for your internal business decisions, project requirements, hiring decisions, supervision, acceptance of work, and legal compliance relating to your business operations.

4. Candidate, Talent, and Staffing Terms

Auxilio may introduce or assign technical talent in connection with the Services. You understand and agree that:

  • candidate availability may change at any time

  • hiring, placement, and staffing decisions are subject to mutual agreement, screening outcomes, and business fit

  • timelines are estimates only and may vary based on role complexity, market conditions, responsiveness, and other factors

  • any specific personnel relationship, including whether talent is engaged as an employee, contractor, subcontractor, or through another structure, will be governed by the applicable proposal, statement of work, staffing agreement, or other written agreement

  • unless otherwise agreed in writing, you may not directly solicit, hire, or bypass Auxilio or its staffing relationship in a manner that avoids agreed commercial terms

Auxilio does not guarantee uninterrupted availability of any individual candidate or assigned professional.

5. Relationship With Third Party Platforms and Tools

The Services may involve or rely on third party platforms and tools, including communication tools, project management systems, code repositories, video conferencing tools, applicant tracking systems, payroll platforms, and other external software or services.

Auxilio does not own or control those third party platforms. Your use of those services may also be subject to separate terms, policies, and agreements between you and the relevant provider.

You understand and agree that:

  • third party providers may change, suspend, or discontinue their services at any time

  • Auxilio is not responsible for outages, interruptions, policy changes, pricing changes, access restrictions, or technical limitations imposed by third parties

  • your use of third party platforms is at your own risk and subject to those providers' own terms and privacy practices

6. Fees, Payments, and Billing

Fees for the Services may include, depending on the engagement:

  • recruiting or placement fees

  • monthly staff augmentation or managed support fees

  • project based consulting fees

  • onboarding, setup, or administrative fees

  • other fees described in a proposal, order form, statement of work, or separate commercial agreement

Unless otherwise stated in writing:

  • fees are due according to the payment terms in the applicable agreement or invoice

  • recurring fees may renew automatically until cancelled in accordance with the applicable notice period

  • late, failed, or disputed payments may result in suspension or termination of Services

  • you are responsible for all applicable taxes, duties, levies, or government charges, excluding taxes based on Auxilio's net income

All pricing, billing structure, refund terms, and notice requirements are governed by the applicable proposal or written commercial agreement.

7. Intellectual Property

Each party retains ownership of its pre existing intellectual property, materials, know how, methodologies, templates, software, documentation, trademarks, branding, and proprietary tools.

Unless otherwise stated in a separate written agreement:

  • you retain ownership of your data, content, code repositories, internal materials, and other materials you provide

  • you own work product specifically created for you and fully paid for under the applicable engagement, except for Auxilio's pre existing materials, reusable tools, frameworks, templates, know how, and general methodologies

  • Auxilio retains all rights in its pre existing and reusable materials, processes, systems, templates, and proprietary operating methods

You grant Auxilio a limited right to access and use your materials, systems, and information solely as necessary to provide the Services.

8. Confidentiality and Data Use

In connection with the Services, each party may receive confidential, technical, business, or personal information from the other party.

Each party agrees to use the other party's confidential information only as necessary for the Services and to protect it using reasonable safeguards.

Auxilio may access business, technical, candidate, project, and account information only to the extent reasonably necessary to provide the Services, comply with legal obligations, enforce agreements, or as otherwise authorized by you.

You represent that you have all necessary rights, permissions, and legal bases to share any information, systems access, project details, or personal data that you provide to Auxilio in connection with the Services.

9. No Warranty and Limitation of Liability

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

Auxilio disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non infringement, and availability.

Without limiting the foregoing, Auxilio does not warrant that:

  • the Services will be uninterrupted, error free, or always available

  • any candidate or personnel will meet your expectations or remain available for any specific duration

  • any engagement will produce specific business, technical, financial, or operational results

  • any project will be completed within a particular timeframe unless expressly agreed in writing

To the maximum extent permitted by law, Auxilio will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings arising out of or related to the Services.

To the maximum extent permitted by law, Auxilio's total aggregate liability arising out of or related to the Services will not exceed the total amount paid by you to Auxilio for the specific Services giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim.

10. Suspension and Termination

Auxilio may suspend or terminate access to the Services, in whole or in part, if:

  • you violate these Terms or any applicable proposal, order form, or agreement

  • you fail to make required payments when due

  • Auxilio reasonably believes your conduct is unlawful, fraudulent, abusive, risky, or harmful to Auxilio, its personnel, its partners, other clients, or third parties

  • a third party platform, legal requirement, or operational issue makes continued performance impractical or impossible

  • Auxilio is required to do so by law, court order, or competent authority

You may terminate the Services in accordance with the applicable written agreement, proposal, or order terms.

Termination does not relieve either party of obligations that accrued before the effective termination date, including payment obligations, confidentiality obligations, and any provisions that by their nature are intended to survive termination.

11. Changes to These Terms

Auxilio may update these Terms from time to time for legal, operational, business, or technical reasons.

When we update these Terms, we will revise the "Last updated" date at the top of this page. Your continued use of the Services after updated Terms are posted constitutes your acceptance of the revised Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law principles, unless a different governing law is specified in a separate written agreement between you and Auxilio.

Any dispute arising out of or relating to these Terms or the Services will be brought in the courts located in Virginia, unless applicable law requires otherwise.
