1. Acceptance of these Terms

These Terms of Service (“Terms”) govern your access to and use of the consulting, implementation, automation, integration, and operations support services provided by Auxilio (“Auxilio”, “we”, “our”, or “us”) through the website useauxilio.com and any related channels (collectively, the “Services”).

By using the Services, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, available at: https://useauxilio.com/legal-pages/privacy-policy.

If you do not agree with any part of these Terms, you must not use the Services.

2. Description of the Services

Auxilio provides managed operational and technology services that help businesses:

  • Design and configure CRM and customer tracking systems.

  • Implement automations and workflows between different tools.

  • Connect and integrate external platforms such as CRMs, messaging tools, forms, phone systems, email marketing platforms, and other third party systems.

  • Provide ongoing operational support and, in some cases, remote staff to assist with administrative and data management tasks.

In most cases, Auxilio configures and manages tools that are separately subscribed to and paid for by the client directly to the third party provider.

The client is responsible for:

  • The content of all messages, communications, and data entered into, sent through, or processed by the tools Auxilio configures.

  • Obtaining all necessary consents from its own customers or users for the processing of personal data.

  • Complying with all applicable privacy, data protection, marketing, and communications laws in its jurisdiction.

  • Complying with the terms of use and policies of each third party platform it uses.

Auxilio does not use end customer data for any purpose other than delivering, improving, and maintaining the Services.

3. Relationship with third party platforms

Auxilio does not own or control the third party platforms that may be integrated with the Services. These may include CRMs, messaging tools, automation platforms, calendars, email services, phone providers, and other software.

Your use of such platforms is also subject to their own terms and policies, which you must review and accept. Examples include:

  • Terms of use of the CRM you choose.

  • Terms and policies of the automation platform (for example, Zapier, Make, and others).

  • Terms and policies of messaging, phone, or transactional email providers.

You understand and agree that:

  • Third party providers may suspend, limit, or change access to their services according to their own rules.

  • Auxilio has no control over decisions, technical changes, interruptions, or limitations imposed by those third parties.

  • Any communication or data processed through a third party platform is governed by that provider’s terms.

4. Client responsibilities

You agree to:

  • Use the Services only for lawful and legitimate purposes.

  • Not use the Services to send spam, unsolicited bulk messages, fraudulent content, or any illegal or abusive activity.

  • Ensure that your marketing, communications, and follow up activities comply with applicable privacy, anti spam, and data protection laws.

  • Keep your access credentials for any tools and systems configured by Auxilio secure and confidential.

  • Provide accurate, up to date, and sufficient information so Auxilio can deliver the Services properly.

  • Notify Auxilio promptly of any unauthorized access, misuse, or security incident related to your accounts.

Auxilio reserves the right to suspend or terminate access to the Services if it detects any violation of these Terms or any use that appears unlawful, abusive, or risky to Auxilio or to third parties.

5. Fees, payments, and billing

Auxilio’s fees typically include:

  • Implementation or project fees: one time charges for design, initial configuration, migrations, and go live.

  • Recurring fees: monthly charges for ongoing support, maintenance, and operational management (for example, Starter, Pro, or Scale plans).

Specific pricing, currency, and conditions are described in the relevant proposal, quote, or commercial agreement and may be updated in line with Auxilio’s current pricing policy.

Unless otherwise stated:

  • Fees are payable in advance using the available payment methods (for example, Stripe or another payment processor).

  • Monthly subscriptions renew automatically until cancelled by the client in line with the notice period specified in the proposal or these Terms.

  • Subscriptions to third party software (CRM, phone, email, etc.) are paid directly by you to the relevant provider and are not included in Auxilio’s fees unless explicitly stated.

Late or failed payments may result in temporary suspension of the Services until payment is brought up to date.

6. Intellectual property

All code, documentation, configurations, templates, automations, process designs, training materials, and any other intellectual property created by Auxilio in connection with the Services are the exclusive property of Auxilio, unless otherwise agreed in writing.

You are granted a limited, non exclusive, non transferable license to use such configurations and materials in your own business for the purposes described in the applicable agreement. You may not resell, sublicense, copy, or reuse Auxilio’s solutions for third parties without prior written permission.

Your own business data and data of your end customers remain your property.

7. Data use and confidentiality

Auxilio accesses only the data needed to perform the Services, which may include access to third party tools, your internal systems, and databases related to your CRM, leads, and customers.

Auxilio commits to:

  • Not accessing, modifying, or disclosing your information except as necessary to deliver the Services, comply with legal obligations, or with your explicit consent.

  • Maintaining the confidentiality of the data it processes and applying security measures that are consistent with applicable laws and industry best practices.

  • Complying with applicable data protection laws, including where relevant the General Data Protection Regulation (GDPR) and local privacy laws.

8. Limitation of liability

To the maximum extent permitted by applicable law:

  • Auxilio is not responsible for service interruptions, errors, or data loss caused by third party platforms, internet connectivity issues, changes to APIs or external services, or configurations made directly by you.

  • Auxilio does not guarantee specific financial results, revenue increases, or a particular number of leads or conversions. Outcomes depend on many factors outside Auxilio’s control, such as your offer, lead quality, and sales execution.

  • Auxilio is not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities, arising out of or related to the use or inability to use the Services.

In all cases, Auxilio’s total aggregate liability to you for any claim related to the Services will not exceed the total amount you have paid to Auxilio for the affected Services in the three (3) months immediately preceding the event that gave rise to the claim.

9. Suspension or termination of the Services

Auxilio may suspend or terminate your access to the Services, in whole or in part, if:

  • You violate these Terms, any applicable proposal or agreement, or any applicable law.

  • Auxilio detects fraudulent, abusive, or risky activity that could harm Auxilio, other clients, or third parties.

  • It is no longer technically feasible to provide the Services due to decisions by third party providers or significant changes in their platforms.

  • Auxilio is required to do so by law or by a competent authority.

Except in urgent or severe situations, Auxilio will seek to provide reasonable notice before suspension or termination.

You may request termination of the Services in line with the notice periods and conditions set out in your proposal or commercial agreement. Upon termination, you may request export of certain data or configurations to the extent technically possible and consistent with our Privacy Policy.

10. Changes to these Terms

Auxilio may modify these Terms when necessary for legal, technical, or operational reasons.

  • The current version will always be available at this URL with the “Last updated” date shown at the top.

  • For significant changes, Auxilio may also provide notice by email or through the website.

Your continued use of the Services after a new version of the Terms is posted will constitute acceptance of the updated Terms.

11. Governing law and jurisdiction

These Terms are governed by the laws of the Commonwealth of Virginia, United States of America, without regard to its conflict of law rules, unless a different governing law is specified in a written agreement between you and Auxilio.

Any dispute arising out of or relating to these Terms or the Services will be submitted to the competent courts located in Virginia, United States, unless applicable law requires a different forum.

You can change “Commonwealth of Virginia” to the state where your company is legally formed if needed.
